Terms of Execution

By deploying Netora, you agree to the following terms governing the use of our Automated Business Optimization platforms. This is a binding commercial agreement.
1. Definitions
- "Platform" refers to the Netora neural core, agents, and dashboards.
- "Client" refers to the entity integrating Netora.
- "Output" refers to any pricing decision, order, or listing generated by the AI.
2. Service Modules
Netora provides two distinct service modules. Your contract determines which apply:
Module A: Vertical Optimization (SaaS)
License Grant: Netora grants a revocable, non-exclusive license to access the Dashboard.
Fees: Billed monthly/annually based on connected endpoints (Locations/Nodes).
SLA: We target 99.9% uptime for critical decision engines. Service credits apply for downtime exceeding thresholds.
Module B: Inventory Liquidation (Commerce)
Nature of Relationship: Consignment or Agency model. Netora acts as the "Seller of Record" on external marketplaces unless otherwise agreed.
Revenue Share: Netora retains a percentage (The "Protocol Fee") of Gross Merchandise Value (GMV) generated from liquidated assets.
Remittance: Payouts for sold inventory are remitted Net-15 or Net-30.
3. Liability & Autonomous Agents
The Client acknowledges that Netora Agents act autonomously based on configured parameters. Netora is not liable for:
- Lost revenue due to aggressive pricing strategies approved by the Client.
- Inventory stock-outs if "Safety Stock" parameters were overridden.
- Third-party marketplace suspensions caused by platform policy changes.
4. Intellectual Property
Netora Owns: The algorithms, the Neural Core code, and aggregated/anonymized benchmarking data.
Client Owns: Their raw customer data, inventory logs, and brand assets.
5. Termination
Either party may terminate the agreement with 30 days written notice. Upon termination:
- SaaS: Access is revoked at the end of the billing cycle.
- Commerce: Netora will cease new listings. Active orders must be fulfilled. Unsold inventory remains Client property.
